Bob is author of the definitive book Oregon Securities Law published by the OSB Professional Liability Fund. He is a former Securities Examiner with the Oregon Securities Division. His Oregon Supreme Court cases (Computer Concepts v. Brandt and Prince v. Brydon) are leading cases under Oregon Securities Law. Litigated securities disputes involving mergers, unregistered securities, stock options and whether LLC interests are securities. Arbitrated broker cases with NASD & AAA. Corporate. Represented shareholders in cases involving corporate dissolutions, shareholder oppression, derivative actions, business appraisals and claims for breach of fiduciary duty. Represented creditors who pierced corporate veil and imposed liability on shareholders. Author of Oregon Corporate Law Handbook and Washington Corporate Law Handbook. Served on the OSB Business Section Task Forces on corporate & LLC legislation. Past Chair of OSB Business Litigation Section. Partnerships & LLCs. Represented partners and LLC members in disputes over breach of fiduciary duty, usurping business opportunities, accounting and dissolution. Litigated whether LLC interests fall within the securities laws. Contracts. Litigated a wide variety of contract disputes including licensing & technology agreements, sales contracts, employment & stock option agreements and mergers & acquisition agreements. Recent cases In a NASD arbitration against national broker, represented several victims of financial planner (currently in federal penitentiary) who dummied up monthly statement while pocketing client funds. Represented employees in trucking company in recovering funds for company’s ESOP from company’s majority owner. Represented minority shareholder suing for oppressive conduct. Currently representing more than 50 investors in the Pac Equities ponzi scheme in lawsuit against the attorneys who drafted the Offering Memorandum used to solicit sales. Tried 2-week trial in Clark County arising out of partnership break-up and valuation of its assets. Tried a 2-week jury trial in Multnomah County over issues related to an LLC (formation, fraud in inducement, conversion) In a securities and breach of employment contract case, represented former owner of company which had merged into a public company. Defended investment management company in lawsuit brought by unhappy investor. Represented former client of bankrupt attorney in insurance coverage dispute with attorney’s malpractice insurance company. In arbitration, defended manufacturing company in technology licensing & patent dispute. |
